Terms and Conditions – B2bfix (English)

1. Definitions

• Platform: The online auction platform of B2bfix, accessible via b2bfix.com.
• Bidder: Any registered user placing a bid on a lot.
• Seller: The party offering a lot on the platform.
• Buyer: The party placing the winning bid on a lot.
• Buyer’s Premium: The percentage added to the winning bid as specified in these terms.
• Lot: The item or group of items auctioned via the platform.

2. Applicability

• These terms apply to all services, auctions, and transactions on the B2bfix platform.
• The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
• Dutch law applies to all agreements and disputes.

3. Role of B2bfix

• B2bfix acts as an intermediary and is not the owner of the lots.
• B2bfix is not responsible for the quality, condition, or description of the lots.

4. Bidding and Awarding

• The highest bid is binding, provided the reserve price has been met.
• The seller reserves the right to award or reject a lot, but rejection without valid reason incurs a penalty equal to the buyer’s premium.
• Buyers may cancel their purchase without penalty if the lot materially deviates from its description upon inspection. This right expires once the lot is collected.

5. Exclusivity and Term

• The auction period is at least 60 days and is automatically extended with a 30-day notice period. If terminated after 60 days, the auction remains active until the end of the notice period.

6. Invoicing

• B2bfix invoices the winning bid plus the buyer’s premium and VAT.
• Auction proceeds (winning bid excluding premium) are credited to the seller.
• The seller remains responsible for VAT and other fiscal obligations.

7. Liability

• B2bfix is not liable for indirect or consequential damages, including loss of profits or data.
• The buyer assumes risk and responsibility from the moment the lot is collected.

8. Complaints Procedure

• Complaints about a lot must be submitted within 48 hours of collection.
• B2bfix mediates complaints, but the seller remains ultimately responsible.

9. Penalties

• Seller: Penalty for canceling a sale without valid reason is equal to the buyer’s premium.
• Buyer: Penalty for non-compliance is 10% of the winning bid.

10. Translation Clause

• In case of discrepancies or differences in interpretation between the Dutch and English versions, the Dutch version shall prevail.
